Terms of Service.

1. Agreement
These Terms govern your engagement with Digitalx Group (Pty) Ltd (Reg 2019/454913/07), headquartered in Cape Town, South Africa. Requesting a quote, signing a service agreement or making payment constitutes acceptance of these Terms.
2. Services
Digitalx provides managed business technology, digital marketing and advertising services. Specific services, deliverables, pricing and service levels are set out in your Service Agreement or Proposal, which forms part of these Terms.
3. Fees and Payment
- ✓Fees are as set out in your Service Agreement.
- ✓Monthly invoices are issued on the 1st of each month, payable within 7 days.
- ✓Late payment attracts interest at prime plus 2% per annum.
- ✓Services may be suspended for accounts overdue by more than 14 days.
- ✓Setup fees are payable upon acceptance and are non-refundable once onboarding commences.
- ✓All fees exclude VAT unless stated.
4. Term and Termination
Services are month-to-month unless a minimum term is specified. Either party may terminate on 30 days written notice. Digitalx may terminate immediately for material breach including non-payment. Upon termination, a 14-day data export period is provided.
5. Client Responsibilities
- ✓Provide accurate information required for service delivery
- ✓Provide timely access, approvals and feedback
- ✓Ensure all content supplied is lawful and does not infringe third-party rights
- ✓Maintain confidentiality of credentials provided by Digitalx
- ✓Pay invoices within agreed terms
6. Intellectual Property
Work produced by Digitalx becomes your property upon full payment of all fees. Digitalx retains rights to its proprietary methodologies, tools and platform infrastructure, and the right to display work in its portfolio.
7. Limitation of Liability
Digitalx's total liability is limited to fees paid in the 3 months preceding a claim. Digitalx is not liable for indirect, consequential or punitive damages. Specific marketing results (rankings, revenue) cannot be guaranteed as they depend on factors outside Digitalx's control.
8. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Disputes are subject to the exclusive jurisdiction of South African courts.
